Pekan Desktop End User Licence Agreement

This End User Licence Agreement (“Agreement”) is between Martin Ejstrup, trading as Ejstrup Development (“Pekan”, “I”, “me”) and the individual or organization accepting it (“you”). If you accept for an organization, you confirm that you have authority to bind that organization.
This Agreement governs the Pekan desktop application binary. Please read it before installing or using Pekan. If you do not agree, select Decline and do not use the application. Declining does not delete your local data.
1. What this Agreement covers
This Agreement covers only the Pekan desktop application binary supplied with it, including documentation bundled with that application. It does not license Pekan’s source code, which is private and proprietary. It does not govern the Pekan.cloud website, third-party components, or any future hosted Pekan Cloud service. The website has separate terms, third-party components retain their own licences, and any hosted service will have separate terms before launch.
2. Licence grant
Subject to this Agreement, I grant you a free of charge, non-exclusive, worldwide, non-transferable and non-sublicensable licence to install and use the supplied version of Pekan for personal purposes and for your own internal workplace or business purposes.
- There is no device or seat limit.
- An individual may install Pekan on devices they own or control.
- An organization may install Pekan on devices it owns or controls for use by its personnel.
- An organization may copy the installer solely as needed for that internal deployment.
The licence for each supplied version is perpetual while you comply with this Agreement. You may continue using that version if development or distribution of Pekan ends. Installing a future version may require you to accept a newer agreement, but a newer agreement does not retroactively replace the agreement governing a version you already received.
3. Restrictions
Except for the internal deployment expressly allowed above, you must not:
- publish, distribute, sell, resell, rent, lease, sublicense or otherwise make Pekan available to another person or organization;
- offer Pekan, or functionality substantially derived from Pekan, as a hosted service, service bureau, managed service or competing cloud product;
- modify, adapt, translate, create derivative works from, reverse engineer, decompile or disassemble Pekan;
- remove or alter copyright, trade mark, attribution or proprietary notices; or
- use the Pekan name or branding to suggest sponsorship, endorsement or affiliation.
These restrictions apply only to the extent permitted by law. They do not restrict any right that applicable law makes non-waivable, including rights that may apply to making a necessary back-up copy, observing or testing the program, or obtaining information needed for interoperability. You must exercise any such right only within the conditions set by applicable law.
4. Ownership and reservation of rights
Pekan and its original content are owned by Martin Ejstrup and protected by copyright and other applicable laws. This Agreement grants a limited right to use the application binary. It does not sell or transfer Pekan, its source code, its branding, or any intellectual property right. All rights not expressly granted are reserved.
5. Third-party components
Pekan includes third-party software components. Those components are governed by their own licence terms and notices, which may grant you additional rights. The complete third-party notices are available inside Pekan and at https://pekan.cloud/license-attributions/. Nothing in this Agreement restricts rights granted directly by a third-party licence.
6. Local data and your responsibilities
Pekan is local-first. Boards, tasks, attachments, settings, snapshots, backups, run history and linked-project information are stored on devices and in folders you control. I do not receive that data through Pekan and cannot recover it for you. You are responsible for choosing appropriate storage locations, maintaining backups, protecting access to your devices and repositories, and checking exports or backups before relying on them.
Uninstalling Pekan, declining this Agreement or termination of the licence does not authorize me to access, disable or delete your local data. You remain responsible for deciding whether to keep or delete it.
7. Coding agents, voice and other third-party services
Pekan can connect to coding-agent command-line tools and other services that you separately install, configure and select. Depending on the action you start, those tools may receive prompts, board content, linked project folders, repository contents, evidence attachments or other files available in their working directory. The optional voice feature sends audio you choose to dictate directly to OpenAI using an API key you provide.
Those products are provided by third parties under their own terms and privacy policies. Pekan does not control their processing, availability, output or charges. Before connecting one, you are responsible for confirming that you have permission to share the relevant content, including under workplace, confidentiality and data-protection obligations.
8. AI-generated output and prohibited uses
Plans, task breakdowns, refinements, code and other output produced with an AI provider may be wrong, incomplete, insecure or misleading. It is not professional legal, medical, financial or other specialist advice. You are responsible for reviewing output before relying on it and for actions taken by you or an agent you connect.
You must not use Pekan:
- for an unlawful purpose or to infringe another person’s rights;
- to produce or facilitate abusive, harassing or unlawful content; or
- as an automated decision-making component for employment, education, creditworthiness, essential services, access to justice, or another use that applicable law classifies as high risk unless Pekan has expressly been released and documented for that use.
9. Alpha software, updates and support
Pekan may be supplied as alpha software. Alpha builds may be unsigned, may trigger operating-system security warnings, may contain serious defects, and may change or stop working. Defects may cause data loss or changes to local files. Test important workflows carefully and maintain independent backups.
Pekan does not update itself during the current alpha. You decide whether to download and install a future version. I am not required to provide updates, maintenance, support, compatibility, availability or any service level. If support is offered, it is voluntary and may end at any time.
10. No warranties
To the fullest extent permitted by applicable law, Pekan is supplied “as is” and “as available”, without express or implied warranties, including warranties of quality, fitness for a particular purpose, non-infringement, accuracy, security, compatibility or uninterrupted operation.
Nothing in this Agreement excludes a guarantee, remedy or other right that applicable law does not allow the parties to exclude or limit, including mandatory consumer rights.
11. Limitation of liability
To the fullest extent permitted by applicable law, I am not liable for indirect or consequential loss, lost profits or revenue, loss of opportunity, business interruption, loss or corruption of data, repository changes, or the cost of restoring data, arising from Pekan or a third-party service used with it.
This limitation does not apply where liability cannot lawfully be excluded or limited, including liability for fraud, wilful misconduct, death or personal injury where caused by negligence, or any mandatory consumer remedy. Nothing in this section limits liability beyond what is fair and enforceable under the law applicable to you.
12. Termination
Your licence terminates only if you materially breach this Agreement. If the breach can be remedied, I must give you written notice describing it and 30 days to remedy it. If you remedy it within that period, the licence continues.
The licence may terminate immediately if you intentionally resell or externally redistribute Pekan, offer it as a prohibited hosted service, or use it unlawfully. On termination, you must stop using and uninstall Pekan and delete copies of the application and installer that you control. Termination does not provide a remote disabling right, does not delete your local data, and does not prevent access needed to export, back up or delete that data.
Sections concerning ownership, third-party licences, disclaimers, liability, termination consequences and governing law continue to apply where their nature requires it.
13. Changes to this Agreement
This version continues to govern the Pekan version supplied with it. I will not change it retroactively. A future Pekan version may be offered under an updated agreement, which will identify its version and effective date and must be presented for separate acceptance before that future version is used.
14. Governing law and disputes
This Agreement is governed by Danish law, without regard to its conflict-of-law rules. The courts of Denmark have jurisdiction over disputes, except that if you are a consumer, this choice does not deprive you of mandatory protections or court rights provided by the law of the country where you habitually reside.
15. General terms
If a provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions continue. A failure to enforce a provision is not a waiver. You may not transfer this Agreement or your licence. I may transfer this Agreement together with ownership of Pekan, provided the transfer does not reduce rights already granted for your supplied version. This Agreement and the third-party terms it preserves are the complete agreement about your use of the Pekan application binary.
